MBM360 Client Commitments & Service Terms

These Client Commitments & Service Terms (“Service Terms”) describe how services are delivered within MBM360, the integrated operating system for mental health associations operated by Mentally Balanced Media OmniCorp (“MBMO”).
These Service Terms supplement the MBM360 Terms of Use & Client Agreement, Privacy Policy, and Migration Policy. In the event of conflict, the Terms of Use & Client Agreement control.
1. Service Model Overview
MBM360 operates as a capacity-based operating system, not an on-demand agency.
Services may include:
- platform access and infrastructure,
- activated Operations Departments,
- automation configuration and system support,
- advisory and educational guidance.
Service availability, turnaround, and scope are determined by:
- your active plan,
- activated Operations Departments,
- available operational capacity.
2. Requests, Workflows & Throughput
Clients may submit requests through designated MBM360 workflows.
- Requests are not unlimited.
- Active work-in-progress limits apply based on plan level and department capacity.
- MBM360 determines sequencing and prioritization to maintain system stability.
Each request includes up to two revision rounds, provided revisions fall within the original scope.
3. Turnaround Times
Turnaround times are estimates, not guarantees
Delivery timing may be affected by:
- request complexity,
- data completeness,
- third-party dependencies,
- client response time.
MBM360 does not guarantee deadlines, output volume, or production velocity.
4. Subscriptions, Billing & Engagement
All MBM360 services operate on a subscription basis and renew automatically unless canceled per the Terms of Use.
- Billing is not paused due to non-use, delayed submissions, or missed onboarding.
- Capacity is reserved upon activation, regardless of utilization.
- MBM360 does not offer pause plans or usage-based credits unless expressly agreed in writing.
5. No Performance or Growth Guarantees
MBM360 provides systems, infrastructure, and operational support—not results.
- No guarantees are made regarding growth, engagement, revenue, placements, or outcomes.
- MBM360 does not offer satisfaction-based guarantees or refunds.
- Advisory guidance is informational and does not constitute legal, medical, or financial advice.
6. Client Responsibilities
Clients are responsible for:
- providing accurate, complete, and timely information,
- reviewing deliverables promptly,
- approving or rejecting outputs within defined windows,
- maintaining access credentials and integrations.
Failure to engage does not alter billing or service obligations.
7. Intellectual Property
Clients own final deliverables explicitly included in their active MBM360 plan.
MBM360 retains ownership of:
- platform architecture,
- automation logic,
- templates and workflows,
- internal systems and methodologies.
MBM360 may reference anonymized or approved client work for internal benchmarking or platform improvement unless otherwise restricted in writing.
8. Confidentiality & AI-Assisted Workflows
MBM360 treats client information as confidential, subject to the Privacy Policy.
- AI-assisted workflows may be used to support efficiency and consistency.
- Human oversight remains part of MBM360’s quality control process.
- MBM360 does not use client data to train public AI models.
9. Third-Party Systems
MBM360 relies on third-party platforms and integrations.
MBM360 is not responsible for:
- outages or failures of third-party tools,
- changes to third-party APIs or pricing,
- delays caused by external providers.
Clients agree to applicable third-party terms when using integrated services.
10. Service Suspension & Termination
MBM360 may suspend or terminate services for:
- non-payment or chargebacks,
- misuse or abuse of systems,
- violation of governing agreements.
Termination does not entitle clients to refunds.
11. Dispute Resolution
MBM360 will attempt to resolve disputes in good faith.
If unresolved, disputes may be subject to mediation or arbitration under Texas law, as specified in the Terms of Use & Client Agreement.
12. Agreement Acknowledgment
By continuing to use MBM360, clients acknowledge and agree to these Service Terms and all related governing documents.
